2. Definitions
- Platform: the online interface available at b2bstock.eu and the related services.
- User: any natural or legal person who browses, registers on, or posts a listing on the Platform.
- Advertiser: the User posting a listing.
- Listing: an offer/information regarding a product or item published by the Advertiser.
- Content: all data uploaded by Users (listings, images, messages, text).
3. Subject of the service
The Provider operates an online marketplace on which Advertisers may advertise items and products, and other Users may search, browse and contact the Advertiser directly. The Platform provides the display of listings and the connection of the parties; the terms of the transaction (price, payment, delivery, handover, warranty) are agreed between the parties themselves.
Listings undergo manual approval before they appear; the turnaround time is typically up to 48–72 hours from submission. The Provider reserves the right to reject or remove a listing without justification (see the Listing and Moderation Policy).
4. Registration and user account
Browsing is possible without registration. An account is required to post listings and for certain functions. The User must provide accurate data and is responsible for the security of their account and for the activity carried out through it. Accounts are non-transferable. The User may request deletion of their account at any time.
5. Rules for posting listings
The Advertiser warrants that they are entitled to sell/transfer the advertised item, that the data provided is accurate, and that the Content does not infringe any law or third-party right. Detailed content requirements and the scope of prohibited content are set out in the Listing and Moderation Policy, which forms an inseparable part of these Terms.
6. The Provider's role and disclaimer
- The Provider is not a party to transactions between Users and accepts no liability for the existence, quality, legality or authenticity of advertised items, or for the parties' performance.
- The Provider does not verify or warrant the accuracy of the data in listings; manual approval does not constitute any quality or legal guarantee.
- In disputes between the parties the Provider does not act as an arbitrator, but may take action against illegal content within the reporting procedure.
- Users contact and transact with the other party at their own risk.
7. Prohibited conduct
It is prohibited to use the Platform for unlawful purposes, to deceive or harass others, to send unsolicited messages (spam), to endanger the security of the system, for automated data collection (scraping), or to circumvent moderation. The scope of prohibited content is detailed in the Listing and Moderation Policy.
8. Reporting and moderation
Anyone may report content believed to be unlawful or in breach of the rules using the Platform's report function or at info@b2bstock.eu. The handling of reports, the measures and the remedy are governed by the Listing and Moderation Policy, in line with the EU Digital Services Act (DSA).
9. Fees
The Platform's basic services are currently free of charge. The Provider reserves the right to make certain services (e.g. featured listing, subscription) subject to a fee in the future; the Provider will inform Users clearly and in advance of any such fees, their amount and conditions, and paid services may only be used upon the User's express order.
10. Intellectual property
The Platform's design, software and contents belong to the Provider or its licensors. The Advertiser grants the Provider a non-exclusive licence to the uploaded Content as necessary for its display. The Advertiser warrants that they hold the rights necessary for the uploaded Content.
11. Limitation of liability
The Provider provides the service "as is" and does not warrant continuous, error-free operation. To the fullest extent permitted by applicable law, the Provider's liability is excluded for damages arising from transactions between Users or from Content. This clause does not limit liability where the law mandatorily prohibits its exclusion (e.g. intentionally caused damage, or damage to life, bodily integrity or health).
12. Term and termination
These Terms take effect upon the start of use of the Platform, for an indefinite period. The User may terminate at any time by deleting their account. The Provider is entitled to suspend or terminate an account in the event of a serious or repeated breach of the Terms or policies.
13. Complaints and dispute resolution
Complaints may be submitted at info@b2bstock.eu; the Provider will investigate the complaint within a reasonable time. In the event of a consumer dispute, the User may also use the EU Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr. These Terms are governed by the law of the Provider's registered seat, without prejudice to the mandatory consumer protection provisions of EU law.
14. Amendment of the Terms
The Provider is entitled to unilaterally amend the Terms. Users will be notified of the amendment and its entry into force by a notice published on the Platform. Continued use after the amendment takes effect constitutes acceptance of the amended terms.
15. Final provisions
If any provision of the Terms is invalid, this does not affect the validity of the remaining provisions. Matters not regulated in these Terms are governed by the applicable law, in particular EU and national consumer protection, e-commerce and data protection rules.
